THE CLIENT PARTICIPANT/FACILITATOR RELATIONSHIP

Aubrey Daquinag of The Love Assembly (“Facilitator”) provides life, business and mindset coaching and meditation, healing and energetic practices. Any remedies, approaches and/or techniques mentioned are by way of invitation to the Participant (“Participant”). Most importantly, they are meant to supplement and not to be a substitute for professional medical consultation, care, therapy and/or treatment.

EVENT WORKSHOP ATTENDANCE:

Participant attendance at the Your Soul Purpose Book Launch and Holistic Wellness Event (“Workshop”), as defined below, is subject to each of the terms and conditions contained within this Agreement, all parts and sub-parts of which are specifically incorporated by reference here.

By clicking "Purchase," "Confirm," "Attend," “Complete Order,” or undertaking any other affirmative action manifesting your intent to attend to the Your Soul Purpose Book Launch and Holistic Wellness Event, including providing a credit card or billing information to be charged for attendance at the Your Soul Purpose Book Launch and Holistic Wellness Event, you acknowledge and agree that you are entering into a legally binding agreement with terms and conditions.

The following definitions shall apply to this agreement:

a. The term “Agreement” shall refer to this Agreement, in its entirety.
b. The term “Workshop” shall refer to the Workshop named above.
c. The term “Destination Country” shall refer to the country in which the Workshop is located.
d. The term “Participant” shall refer to the student, client and traveler who wishes to take part in the Workshop.
e. The term “Facilitator” shall refer to Aubrey Daquinag or The Love Assembly.

The following rules of construction shall apply to this Agreement unless construction in accordance with a rule would produce a result inconsistent with the manifest intent of the document:

g. Use of a singular word includes the plural, and vice versa.
h. Use of a gendered word shall include all genders. This document uses the gender-neutral, singular pronouns of “they/them/their.”
i. The titles of the paragraphs in this Agreement are for reference purposes only and shall not be used in the interpretation of the provisions to which they relate.

I. WORKSHOP

Your Soul Purpose Book Launch and Holistic Wellness Event (“Workshop”) is a 2-hour Book Launch and Holistic Wellness Event Workshop, taking place on 8 March 2025, at Urban Oasis One Playground, 44 Holt Street, Surry Hills, NSW 2010.

II. EFFECTIVE DATE

This Agreement shall take effect immediately upon execution by the parties. It shall remain in effect unless amended or revoked in writing as set forth herein.

III. RESERVATION

To reserve a space at the Workshop, Participant must review and sign this Agreement and pay the cost (“Workshop Fee”) in full.

IV. COST OF WORKSHOP (“Workshop Fee”)

a. The cost of the Workshop is $85 paid in full. All payments under this Agreement must be made in Australian Dollars (“AUD”), either by credit card or Apple Pay prior to the start of the Workshop.

b. The flat fee set forth above includes the following:

  • Reserved spot in Workshop

  • Provision of necessary materials for scheduled activities

c. The flat fee set forth above does not include the following:

  • anything not expressly listed above;

  • meals, drinks or catering of any sort such as breakfast, lunch, dinner etc;

  • accommodation;

  • airfare and any other travel costs to reach the Destination County;

  • costs associated with passports, visas, and customs; taxes; medical, travel, or trip cancellation insurance;

  • medical examinations and testing required for travel;

  • vaccinations;

  • specialty beverages or alcohol;

  • tips;

  • personal expenses (e.g., laundry and shopping);

V. PAYMENT
a. Participant has the option to pay for Workshop via the third-party payment processor Thrivecart, through which the options to pay by credit card or Apple Pay are available. Payment and Participant’s personal information is processed by third party payment processors,

b. Participant acknowledges and authorises Facilitator to automatically charge their credit card provided for all payments owing under this Agreement. Participant authorises Facilitator to charge all payments to Participant’s credit card at the time payment is due and no separate authorisation is required. If Participant cancels or replaces credit card, Participant must immediately provide Facilitator with new credit card information.

c. Participant acknowledges and agrees that the terms of this Agreement and refund policies supercede the terms of use and refund policies of any third-party payment processor used by Facilitator. Participant will be responsible for any fees, including legal fees, incurred by Facilitator as a result of recouping payments owing under this Agreement.

d. If Facilitator charges Participant the full amount of the Workshop prior to the start of the Workshop and Participant’s payment method is declined in any way, Facilitator’s payment processor will notify Participant and Participant will have 2 days to pay the full amount owed. Participant will not have access to Workshop or materials unless and until the full balance owed is paid

VI. TRAVEL TO DESTINATION COUNTRY

Participant’s airline or other travel to the Destination Country or the city location of the Workshop is the responsibility of Participant. The participant is responsible for securing any airline or other travel accommodations to the Destination Country and the location of the Workshop. The Facilitator bears no responsibility or liability for delay or cancellation of flights, trains, buses, or other forms of transportation.

VII. HEALTH AND FITNESS REQUIREMENTS

a. Participant warrants that they satisfy all of the following health and fitness requirements:
i. Participant must be in good mental health to attend the Workshop;
ii. Participant must be willing and able to demonstrate a high level of mental and emotional stability and maturity during the Workshop and participate in the Workshop as a reliable, respectful, supportive, and positive student;

b. Participant must disclose to Facilitator in Paragraph 2 any pre-existing conditions or illnesses, food allergies or sensitivities, and any prescribed medications they are taking that could interfere with Participant’s ability to participate safely in the Workshop or in the coaching & meditation practices that will be done there. Participant understands that if the information they provided about their health changes, they have an ongoing duty to update Facilitator before a class or instruction.

c. Facilitator shall have the right, in their sole discretion, to ask any Participant to leave the Workshop at any time, if Participant is disruptive to the harmony of the Workshop and/or is violating any provision of this Agreement. To maintain a peaceful environment for all Participants, the following is prohibited while at the location of the Workshop: the possession or consumption of drugs and/or alcohol in the Participants’ private rooms, as well as gatherings and parties in the Participants’ private rooms.

d. By providing emergency contact information on Participant intake form, Participant consents to Facilitator contacting and speaking with that individual if, in the sole discretion of Facilitator, there is an emergency during the Workshop regarding Participant’s physical or mental health.

VIII. CANCELLATION BY PARTICIPANT

a. If Participant wishes to cancel their participation in the Workshop, they must notify Facilitator by email to theloveassembly@gmail.com. Cancellation shall take effect on the day Facilitator receives the required email from Participant.

b. Due to the complexity of planning an international Workshop, no refunds are available in the case of cancellation by Participant and all outstanding amounts of Split Payments are owed to Facilitator.

c. There shall be no refund if Participant attends the Workshop, but leaves early, for any reason.

d. Deposits or any payments made by Participant are not transferable to another applicant for or participant in the Workshop, for any reason.

IX. CANCELLATION AND CHANGES BY FACILITATOR

a. Facilitator reserves the right to cancel the Workshop up to thirty (30) days prior to the start of the Workshop, if too few people have made reservations. In such an event, Participant will be given a full refund of any and all payments made to Facilitator.

b. Facilitator reserves the right to make changes to any aspect of the Workshop, or to cancel the Workshop entirely, at any time due to conditions in the Destination Country, neighbouring countries, or the world, including but not limited to acts of nature such as weather or other natural disaster, pandemic, and other “acts of god,” acts of war or terrorism, terrorist threat, civil unrest, riots, strikes, trade disputes, interruption of transportation, government or political actions or orders, change of law or regulation, suspension of civil rights, crime, a material change to the relevant Australian Government travel warning, acts or omissions of a third party, or for any other reason whatsoever outside the reasonable control of Facilitator. This is a force majeure provision.

In such an event, if the changes or cancellation occur, Participant will be notified immediately and depending on the circumstances, a refund, and/or other consideration will be issued.

c. If Facilitator is unable to lead the Workshop for any reason, Facilitator shall make their best efforts to hire a substitute Facilitator with substantially similar qualifications. If a substitute Facilitator cannot be located after reasonable diligence, Facilitator reserves the right to cancel the Workshop. In such an event, Participant will be given a full refund of any and all payments made to Facilitator.

d. In all of the above-listed events in this Paragraph, Participant hereby waives any right to claim other amounts are due to them, including but not limited to for loss of time, inconvenience, visa and passport fees, airfare and other travel expenses, insurance premiums, gear purchases, and vaccination and other medical-related costs. Participating in international travel and an international Workshop is risky for everyone involved, not just Participant. That is why Company requires travel and trip cancellation insurance (see immediately below); such insurance helps everyone share the potential cost of the risks of an international Workshop.

X. RECOMMENDED INSURANCE

Facilitator highly recommends that each and every Participant purchase individual travel and trip cancellation insurance in advance of the Workshop. It is Participant’s responsibility to ensure that they are adequately insured for the duration of the Workshop regarding accident, injury, illness, death, emergency evacuation and repatriation, loss of personal items, cancellation, curtailment, worldwide emergency assistance, and all other contingencies. No insurance is provided for Participant by Facilitator or by the Workshop center.

XI. TRAVEL DOCUMENTS, MEDICAL EXAMS, QUARANTINES, AND VACCINATIONS

It is Participant’s responsibility to learn about and obtain all required travel documents, medical examinations, and vaccinations for travel to the Destination Country. Facilitator is not responsible for any delays, cancellations, or damages due to Participant’s lack of proper travel documents, medical examinations, quarantine compliance, or vaccinations, including but not limited to a valid passport, visas (entry and exit), health certificates, and other documents that may be required by the Destination Country or the country to which Participant will be returning. Facilitator has not and will not provide advice regarding the immigration law of the Destination Country or the country to which Participant will be returning

XII. ASSUMPTIONS OF RISK AND RESPONSIBILITY

a. Participant acknowledges that international travel can be challenging and bears a higher level of risk and uncertainty compared to domestic travel. The risk and uncertainty cannot be eliminated by Facilitator and is part of the experience, enjoyment, and reward of an international Workshop. In the Destination Country, standards of accommodation, communication, technology, transportation, access to health care, hygiene, safety, and service may not be as high as those standards in Participants home country and may require flexibility and patience on the part of Participant. Understanding all of this, Participant agrees to accept responsibility for their own safety and welfare while traveling for and attending the Workshop. Participant accepts all of these risks and understands that not every risk is set forth herein.

b. Participant acknowledges that they alone are responsible for their choices, actions, and results during and after the Workshop. Participant accepts full responsibility for the consequences of their use or non-use of any information provided by Facilitator during the Workshop. Participant agrees to use their own judgment and due diligence before implementing any idea, suggestion, or recommendation of Facilitator in their life, family, or business. Participant agrees that there can be no guarantees as to the outcome or result of using the information they receive from Facilitator during the Workshop. Participant agrees and acknowledges that coaching is not substitute for medical attention, examination, diagnosis, and treatment by a licensed psychologist.

c.Participant acknowledges there are certain risks associated with the facilitating Workshop. Certain coaching techniques and activities have inherent risks including, but not limited to, financial, physical, emotional, spiritual loss and damages. Some of the coaching techniques and activities that are part of the Workshop include, but are not limited to, Yoga, Meditation, Breathwork, Sound Healing and Hypnosis. Risks from the coaching techniques and activities may include dizziness, fainting, physical discomfort, and any other pain resulting from the Workshop, whether or not the symptoms came as a result of the negligence of the Participant, negligence of others, or negligence of the Facilitator. Should Participant have any concerns or doubts about ability to participate in the Facilitator or Facilitator’s Workshop, Client will contact Facilitator immediately to inform them of any concerns and/or seek professional medical advice immediately where needed.

d. By ticking this agreement, Participant acknowledges and accepts that their participation in the workshop is voluntary and involves inherent risks, including, but not limited to, physical injury, illness, accidents, and in rare cases, death. The participant agrees that the Facilitator, including its agents and affiliates, shall not be held liable for any personal injury, loss, damage, or death that may occur before, during, or after the workshop. The participant assumes full responsibility for their own health and safety and agrees to release the facilitator and the company from any claims arising out of their participation.

XIII. WAIVER AND RELEASE OF LIABILITY FOR WORKSHOP

In consideration of Facilitator inviting Participant to the Workshop and accepting their reservation for the Workshop, Participant agrees to release, forever discharge, and hold harmless Facilitator and their employees, agents, teachers, independent contractors, and other representatives, and their heirs, successors, and assigns (“Released Parties”), from liability for any and all Claims (as defined immediately below) relating to or caused by Participant’s attendance at and participation in the Workshop and in any additional activities or excursions Participant may engage in during the Workshop not provided by Facilitator (“Claims”), unless caused by the gross negligence or intentional wrongful act of Facilitator.

The term “Claims” shall include any and all liabilities, claims, demands, actions, damages, rights of action, and causes of action, of whatever kind or nature, that may now or hereafter exist or arise, arising out of personal injuries, losses suffered, and damages of any kind (including but not limited to direct, indirect, consequential, incidental, punitive, or any other damages), including those known and unknown, developed or undeveloped, and foreseen or unforeseen, relating to or caused by Participant’s participation in the Workshop.

Participant agrees that this waiver and release shall be legally binding upon them personally and their family, estate, heirs, successors, and assigns. In addition, Participant acknowledges that, in large part, operational control of the Workshop will be in the hands of the third party Workshop center, and that any cause of action in regard to its shortcomings would be against the Workshop center and not against Facilitator. In particular, Participant acknowledges that Facilitator is not responsible for the safekeeping of Participant’s personal property while at the Workshop.

XIV. MEDIA RELEASE

Participant acknowledges and agrees that before and during the Workshop, they may be subject to photographs, video, sound recordings, or other media captures of their face, name, voice, or likeness. In consideration for their participation in the Workshop, they hereby and irrevocably consent to the use, publication, distribution, broadcasting, reproduction, live-streaming, editing, recording, posting, copyrighting, licensing, digitization, and/or re-release of the Released Media, as defined below, by Company, as well as any employees, affiliates, associates, representatives, or agents (collectively referred to as the "Release Receiver") for any legal reason or purpose, including but not limited to social media, commercial products, education, course materials, video footage, sales, marketing, or any other medium in any form that has been or will be invented.

The Released Media will include, but is not limited to, all photographs, videos, sound recordings, paintings, and all other media currently known or hereinafter developed, captured of Participant or their likeness before and during the Workshop by the Release Receiver. Participant hereby releases the Release Receiver from any and all claims and demands arising out of or in connection with any use of the Released Media, including, without limitation, claims for privacy violations, right of publicity claims, defamation and/or any other intellectual property rights. Participant claims no ownership of the Released Media and foregoes any opportunity, whether past or present, to copyright or trademark the Released Media. Participant gives consent to the use of this Released Media while knowing and understanding that their name, comments, and other identifying factors may be revealed to the general public. However, the Release Receiver may not make known to any party in any medium my known or previously known location, email or physical address, or any other contact details, such as phone number.

If Participant does not want to be photographed or filmed during the Workshop, they need to send a written request to theloveassembly@gmail.com at least 7 days prior to the Workshop start date.

XV. INTELLECTUAL PROPERTY

Participant agrees that any content, methodologies & frameworks provided to Participant by Facilitator is provided for Participant’s personal, informational, non-commercial use only. Content is owned by Facilitator, any content includes all:

  1. Facilitator website and social media content, including design, marks, photographs, Participant-only features, graphics, text, videos and all other media and source code

  2. Any frameworks and methodologies created and taught by Facilitator

  3. All Workshop materials and any other digital downloads or other materials, digital or

    non-digital (materials include but are not limited to, text, photos, graphics, video) created by Facilitator

  4. Any other form of information available to Participant immediately prior to

    Workshop and during Workshop (parts 1 through 3, collectively, “Content”).

Facilitator grants Participant a limited, revocable, non-transferable license to access Content and print and download Content where expressly allowed by Facilitaor, for Participant’s personal, non-commercial use.

Participant is not permitted to duplicate, reproduce, sublicense, share, reassemble, upload, change, post, transmit, transfer, distribute, sell, license, display, republish, create derivative works of or alter Content in any way without prior written approval from Facilitator. Any requests for permission are to be directed to aubrey@theloveassembly.com

XVI. CONFIDENTIALITY/NON-DISCLOSURE

Both Participant and Facilitator recognise the importance of confidentiality during the Term of Workshop and agree to hold all confidential information exchanged in the strictest confidence and safeguard it from disclosure and misuse to the fullest extent possible. Confidential information includes (i) all information disclosed between Participant and Facilitator reasonably considered to be confidential and proprietary, regardless of whether Participant or Facilitator labelled the information as confidential, given the circumstances surrounding the disclosure of the information and (ii) all information labelled or indicated to be confidential by one party to the other party to be confidential, provided that the information was not public at the time of disclosure, (collectively, “Confidential Information”).

Both Facilitator and Participant agree not to make use of any Confidential Information unless and until Participant or Facilitator is required to disclose pursuant to a governmental order. If Participant or Facilitator is required by law to disclose Confidential Information, the party required to disclose the Confidential Information must provide written notice to the other party of the disclosure as soon as is reasonably possible.

Participant agrees that should Participant breach this Agreement, or should Facilitator learn of Participant’s intent to breach this Agreement by disclosing Confidential Information, Facilitator is entitled to injunctive relief against Participant to prohibit said disclosure and limit and protect from any harm due to the disclosure.

XVII. DISCLAIMER

Participant understands and agrees that Workshop is not business, financial, legal, medical, health or other professional advice. Participant agrees that Participant’s participation in Workshop is not a substitute for consultation with and/or treatment by an appropriate professional. All information offered through Workshop, Workshop materials, and Content is for informational purposes only and should be used at Participant’s own risk.

a. Medical Disclaimer
Information given by Facilitator in Workshop, whether through Workshop materials, Content, Group Sessions or 1:1 Conversations or Coaching, or at any other time during Workshop, is not medical advice. It is not intended to diagnose, treat or prevent disease. Any information provided by Facilitator is not intended to be a substitute for medical advice, and Facilitator encourages Participant to use any information provided by Facilitator only in consultation with a medical professional. Any supplements, treatment plans, services, nutrition suggestions or lifestyle changes, or any other information recommended by Facilitator is not medical advice, should not be considered medical advice, and is not a substitute for consultation with an appropriate medical professional.

Facilitator makes no representations as to any physical, emotional, or mental health benefits that may be derived from Participant’s participation in Workshop. Facilitator is not responsible or liable for any of Participant’s health decisions directly or indirectly related to the information provided in Workshop, nor is Facilitator responsible for any damages from Participant’s use or misuse of information provided in Workshop. Participant understands and agrees Participant is solely responsible for any decisions Participant makes from the information provided in Workshop.

b. Other Professional Disclaimer
Participant understands and agrees that Workshop, Workshop materials, and Content are not business, financial, legal, or other professional advice, and should not be construed or relied on as such. The information provided in Workshop, Workshop materials, and Content is intended only for informational purposes. Participant understands and agrees it is not a substitute for consultation with a relevant professional. Participant understands and agrees Participant should consult with a relevant professional if Participant has any questions. By purchasing Workshop and/or using Workshop materials and Content, Participant acknowledges and agrees Participant is solely responsible for Participant’s results.

Participant understands and agrees that Facilitator does not make any representations or guarantees as to any possible income, business growth, sales, additional Participants, or any other earnings or growth benefits that may be derived directly or indirectly from Participant’s participation in Workshop. Participant agrees that Facilitator is not liable for the results of any decisions Participant makes as a result of Participant’s participation in Workshop or from the Workshop materials and/ or Content provided by Facilitator.

Participant understands and agrees each individual is different, and Facilitator cannot and does not guarantee any recommended product, service, or other recommended by Facilitator to Participant during the Term will also work for Participant. Participant understands and agrees that any testimonials, examples, or other results presented by Facilitator on webpage, marketing materials, social media platforms, Workshop, Workshop materials, Content, or any other forum, are the experiences of one participant or client. Participant understands and agrees Facilitator does not represent or guarantee in any way that Participant will achieve the same or similar results.

XVIII. TESTIMONIALS

Participant agrees that Facilitator may use a testimonial about Workshop provided by Participant for any purpose, even commercial. Participant agrees that Participant’s testimonial may be used in Participant’s website, marketing materials, social media platforms or any other platform owned by Facilitator. Participant agrees that Facilitator may use screenshots of conversations over Instagram, WhatsApp, Voxer, Email or other communication channels. At Participant’s written request, Facilitator will anonymise Participant’s testimonial by excluding Participant’s personal information.

XIX. WARRANTY

Except as where otherwise indicated herein, Workshop, Workshop materials and Content provided by Facilitator are “as is.” Facilitator makes no representations or warranties of any kind, express or implied, as to the Workshop, Workshop materials or Content. Participant understands and agrees that all individuals are different, and Facilitator makes no representations, guarantees or warranties regarding any results Participant may or may not experience from participation in Workshop and/or the use of Workshop materials and Content.

XX. ASSIGNMENT

This Agreement is between Participant and Facilitator only. This Agreement cannot be assigned to another party.

XXI. MODIFICATION

Participant agrees that Facilitator may modify the terms of this Agreement at any time. If Facilitator modifies this Agreement, Facilitator will notify Participant of these modifications in writing as soon as is reasonably possible.

XXII. TERMINATION

Facilitator endeavours to provide Participant with a positive experience through Workshop. However, by purchasing Workshop, Participant agrees that Facilitator, at its sole discretion, may terminate this Agreement without refund of any money paid by Participant if Participant:

  1. Fails to pay amount due even after Facilitator assessment of late fees

  2. Participant is derogatory, defamatory, abusive, uncooperative and/or fails to follow Workshop guidelines

  3. Participant violates any other terms of this Agreement.

Participant agrees that should Facilitator terminate this Agreement due to any of the above conditions, Participant is still liable for the remainder of the cost of the Workshop as outlined in Section V, Payment.

XXIII. ELECTRONIC SIGNATURES

Each party agrees that the electronic tick and signature, whether digital or encrypted, of the parties included in this Agreement are intended to authenticate this writing and to have the same force and effect as manual signatures. Delivery of a copy of this Agreement bearing an original or electronic signature by electronic mail in “portable document format” (“.pdf”) form, or by any other electronic means intended to preserve the original graphic and pictorial appearance of a document, will have the same effect as physical delivery of the paper document bearing an original or electronic signature.

XXIV. GOVERNING LAW/DISPUTE RESOLUTION

Both parties will strive to work out any disputes amicably. In the event of a dispute that cannot be resolved amicably, Participant agrees to binding arbitration in Sydney, Australia. If for any reason any dispute is not resolved in arbitration, the dispute will be litigated in the courts of Sydney, Australia.

XXV. SEVERABILITY

If any portion of this Agreement is deemed to be void or unenforceable, that portion is severable from the Agreement and does not impact the enforceability of the remainder of this Agreement.

XXVI. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between Facilitator and Participant. This agreement may not be modified unless and until future written agreement by both parties.
